Ember Digital Limited Terms For The Affiliate Companies Promotional Discount

OVERVIEW

This document sets out the promotional discount terms and conditions for customers referred by The Affiliate Companies (listed in Schedule 1 below), whereby the Affiliate Companies send Referred Customers (as defined in clause 3 [Valid Referral] of the Affiliate Referral Agreement signed and dated 17/05/2025) to Ember Digital Limited (Registered Number 11822163) by one of the methods set out in clause 3.1 of the Affiliate Referral Agreement.

DISCOUNT PERIOD

Eligible customers will receive the first three (3) months of their subscription free of charge. Following the initial three-month free period, customers will receive a twenty percent (20%) discount on the standard subscription price for the subsequent twelve (12) months. After the twelve-month discounted period, subscriptions will automatically renew at the standard pricing unless cancelled or otherwise agreed.

The promotional offer comprises: (a) a three-month free subscription period; and (b) a 20% discount on subscription fees for the subsequent twelve-month period (together, the "Offer").

Example:

  • A customer signs up and activates their subscription on 1st June 2025.
  • They enjoy free service until 31st August 2025.
  • From 1st September 2025, billing will begin, with a 20% discount applied to all subscription charges until 31st August 2026.
  • From 1st September 2026 onwards, the customer will be charged at the standard subscription rate unless they cancel or renew under different terms.
QUALIFYING PRODUCTS INCLUDED IN THE PROMOTIONAL DISCOUNT

The following product is eligible for the three-month free period from account creation date:

  • Ember monthly/annual subscription Essentials for Limited Companies (VAT & Non-VAT plans)

The following products are eligible for the 20% discount on the standard subscription price for the subsequent twelve-month period:

  • Ember monthly/annual subscription Essentials for Limited Companies (VAT & Non-VAT plans)
  • Ember monthly/annual subscription Essentials Plus for Limited Companies (VAT & Non-VAT plans)
  • Ember monthly/annual subscription Full Service for Limited Companies (VAT & Non-VAT plans)

The following products are not eligible for discount:

  • Ember Bookkeeping
  • Ember Payroll
  • Ember Self-Assessment filing
  • Ember Annual Accounts filing
  • Ember extras or other paid for services
ELIGIBILITY

The Offer is available only to customers who satisfy one of the following eligibility criteria at the time of account creation:

  • The customer is referred to Ember via the Partner's API-led account provisioning process;
  • The customer is a newly incorporated business referred to Ember by the Partner and enters a valid promotional voucher code during the onboarding and checkout process; or
  • The customer is an existing business referred directly to Ember by the Partner and enters a valid promotional voucher code during onboarding and checkout. Such customers will receive a 14-day free trial instead of the three-month free period, but remain eligible for the 20% discount for the subsequent twelve-month period.

Customers who do not meet the eligibility criteria set out above — including existing Ember customers and customers who sign up through any other means without a valid referral or promotional voucher code — are not eligible to receive the Offer.

HOW THE DISCOUNT PERIOD WORKS
  • First 3 Months: Once an eligible customer activates their subscription, they will not be charged for the first three (3) months if they chose our Essentials plan. No payment will be taken during this period.
  • Following 12 Months: After the three-month free period ends, the customer's subscription will automatically transition to a paid subscription with a 20% discount applied to the standard subscription price. This discounted rate will be valid for the next twelve (12) months.
  • After 15 Months Total: Once both the three-month free period and the twelve-month discounted period have concluded (i.e., after fifteen months in total), the subscription will automatically renew at the then-current full subscription price unless cancelled by the customer in accordance with Ember's standard terms.
AUTOMATIC ACCOUNT PROVISIONING BY AFFILIATE COMPANY

By entering into this agreement, you acknowledge that, if your company is newly incorporated through an Affiliate Company, Ember may receive information about your business via an API integration with an Affiliate Company. Following incorporation, a user account for your business will be automatically created within the Ember platform. You will be provided with a secure means to access your account, such as a one-time password (OTP), account activation link, or password reset mechanism.

Newly created accounts under this arrangement will be granted a complimentary three-month trial of Ember's Essentials plan. During this trial period, you will not be required to provide payment details or connect a bank account. To continue using Ember beyond the initial three-month trial, you will be required to select a paid subscription plan and provide valid payment information. Failure to do so may result in suspension or termination of access to the platform.

Onboarding requirements for a Limited Business:

  • Valid email address
  • Registered business on Companies House

Ember is unable to support the following types of businesses:

  • Non-UK based businesses
  • Charities
  • CICs
  • PLCs
  • Group companies
  • Partnerships
  • Foreign payroll
  • Investment based businesses (traders) (if operating out of a Limited Company)
  • Cryptocurrency (if operating out of a Limited Company)

This list is not exhaustive, and Ember reserves the right to determine suitability of potential subscribers.

PROMOTIONAL DISCOUNT EXCEPTIONS

New Ember customers who hold an active Affiliate Company account may still qualify for the promotional discount even if they do not register via the Affiliate Company platform. In such cases, eligible customers may contact Ember's support team to manually apply the applicable discount by way of a promotional coupon.

The promotional discount will remain valid for a period of 12 months from the date of the customer's first successful billing (see "Discount Period"). Eligible customers will be informed of the reason for the discount at the time of registration.

This exception applies strictly to new customers only. A "new customer" is defined as an Affiliate Company customer who registers for Ember's services for the first time on or after [Insert Launch Date], the official commencement date of the partnership between Ember and Affiliate Company.

Any further exceptions beyond those explicitly stated herein are not guaranteed and will be considered solely at Ember's discretion.

RETURNING USERS

Monthly Plans If an Affiliate Company account holder subscribes to Ember on a discounted monthly plan, then cancels and later returns within the 12-month discount eligibility window, they may re-subscribe and continue receiving the discount for the remainder of the original 12-month period. This eligibility period is calculated from the billing date of the original subscription. After 12 months from the original billing date, standard pricing will apply.

If a customer returns after the 12-month eligibility period has ended, they will not be eligible for the original discount and must subscribe at full price.

If a customer previously used a different promotional offer (e.g., 50% off for 6 months or 3 months free), cancels, and returns after the promotional period ends, they will not be eligible for a new discount.

Annual Plans If an Affiliate Company account holder subscribes to Ember on a discounted annual plan and cancels during that period, they may re-subscribe within the original 12-month term and continue using Ember at the discounted rate until the initial term expires. After the 12-month term, standard pricing will apply.

Customers who return after the 12-month discounted annual period will no longer be eligible for the original or any new discounts and will be charged full price.

Previous Ember Subscribers Affiliate Company account holders who were Ember subscribers prior to the Affiliate Company partnership launch and who re-subscribe via the Affiliate Company platform may still qualify for an Affiliate Company-linked discount on either a monthly or annual plan, provided they meet all other eligibility criteria.

END OF TERM

At the end of the promotional discount period, the subscription price will increase in line with the price of the same plan at the time that the discount period elapses. Prices may vary over time.

There are no cancellation fees and the customer may cancel their subscription at any time. If the customer is on a monthly subscription then they will not be charged for the following monthly billing cycle. However, if the customer is on an annual plan, then they will not be charged for the following annual billing cycle. No refunds will be issued for the period in which the customer does not use Ember but they will continue to have access until the end of the paid-for period.

If the customer has not cancelled the subscription at the end of the discount term, they will automatically be charged full price for their plan in the following billing cycle. This will continue until the subscription has been cancelled. The customer will not be notified when they approach the end of their term.

DISCOUNT EXPIRY

This discount does not have an expiration date. However, the discount offered and the discount terms are subject to change at the discretion of both parties - Ember and Affiliate Company.
