Terms For TSB Bank PLC Promotional Discount

OVERVIEW

This document sets out the promotional discount terms and conditions for customers referred by TSB Bank PLC (Registered Number SC095237) to Ember Digital Limited (Registered Number 11822163). The promotion applies to new customers with a TSB account only.

DISCOUNT PERIOD

This effective eligibility period to apply the discount will run for 6 months from the first billing date. This will commence once the 14-day trial elapses. Discount will then be applied for 6 months from that date for monthly subscriptions and for 12 months from that date for annual subscriptions. The following promotions are included:

  • 50% off for the first 6 months (when paying monthly)
  • 25% off for the first year* (when paying annually)

*The 25% discount will be applied to the already discounted annual price.

A new user is defined as a new Ember subscriber who has never previously connected a TSB current account on Ember. New users must connect their TSB current account within the first 14 days of registering their account with Ember (within the trial period) in order for the discount to be applied.

  • E.g. If a customer registers their account on the 1st of the calendar month and connects their TSB current bank account on the 2nd of the calendar month (within the 14-day trial period), then discount will be applied for 6 months thereafter (monthly), or 12 months thereafter (annual).

If a customer connects their account after the trial has ended, then discount will not be applied and the full subscription price will be charged from the first billing date.

  • E.g. If a customer registers their account on the 1st of the calendar month and connects their TSB current bank account on the 15th of the calendar month (after the 14-day trial period), then no discount will be applied and the full subscription price will be charged.
QUALIFYING PRODUCTS INCLUDED IN THE PROMOTIONAL DISCOUNT 

The following products are eligible for discount:

  • Ember monthly/annual subscription Pro for Sole Traders
  • Ember monthly/annual subscription Pro for Limited Companies
  • Ember monthly/annual subscription Unlimited for Sole Traders
  • Ember monthly/annual subscription Unlimited for Limited Companies

The following products are not eligible for discount

  • Ember monthly/annual subscription Starter (Free) for Sole Traders
  • Ember monthly/annual subscription Starter (Free) for Limited Companies 
  • Ember Bookkeeping
  • Ember Payroll 
  • Ember Self-Assessment filing
  • Ember Annual Accounts filing 
  • Ember One-off Accountant Call
ELIGIBILITY 

New Ember subscribers who connect their TSB current account will qualify for the promotional discount. Discount will only be applied when they select a Pro or an Unlimited plan. If they connect their TSB current account and select the Starter plan, they will not benefit from a discount until they are on a paid plan. However, the period of eligibility for a 6 month discount will commence as soon as they have connected their TSB current account. Discount will only be applied once their TSB current account has been connected and they are on a paid subscription plan (see ‘Discount Period’).

If a new subscriber on a Starter monthly plan upgrades (from Starter to Pro or Unlimited) within the 6 month period, the discount is applied to the new plan for the remainder of the period. Their TSB current account has to be connected when they upgrade to a paid plan.

  • E.g. If a customer was on a Starter monthly plan for 2 months and upgraded to either a Pro, or an Unlimited Plan in their third month, the 50% discount is valid for 4 more payments.

If a new subscriber on a Pro monthly plan upgrades (from Pro to Unlimited) within the 6 month period, the discount is applied to the new plan for the remainder of the period. Their TSB current account must have been connected within the 14 day trial period.

  • E.g. If a customer was on a Pro monthly plan for 2 months and upgraded to Unlimited in their third month, the 50% discount is valid for 4 more payments.

If a new subscriber on an Unlimited monthly plan choses to downgrade (Unlimited to Pro) within the first 6 month period, the discount is applied to the new plan for the remainder of the period. Their TSB current account must have been connected within the 14 day trial period.

  • E.g. If a customer was on an Unlimited monthly plan for 2 months and downgraded to Pro in their third month, the 50% discount is valid for 4 more payments.

If a new subscriber on any monthly plan choses to switch to any annual paid plan within the first 6 month period, the discount will be applied to the new annual plan pro-rata for the remainder of the 12 month annual period post-bank connectivity. The discount is rounded upwards.

  • E.g. If a customer was on any monthly plan for 2 months and switched to an annual plan in their third month, the 25% annual discount will be applied pro-rata for 10 more months.

Existing Ember subscribers on either a Starter, or a paid plan (Pro/Unlimited) will not qualify for the promotional discount.

  • E.g. A TSB customer registered with Ember in 2021, they connect their TSB current account and don’t benefit from the promotional discount. Only new users will be eligible for the discount.
QUALIFYING CRITERIA 

In order for new subscribers to qualify for the promotional discount, the applicant should apply from directly within the TSB App, then connect their TSB current account, upon registering their account with Ember:

Onboarding requirements for a Limited Business:

  • Valid email address
  • Registered business on Companies House  

Onboarding requirements for a Sole Trader:

  • Valid email address 
  • Full name 
  • Business name (if they are not trading out of their personal name)
  • Street Address 
  • City/Town
  • Postcode 

Ember is unable to support the following types of businesses: 

  • Non-UK based businesses 
  • Charities 
  • CICs
  • PLCs
  • Group companies 
  • Partnerships 
  • Foreign payroll 
  • Investment based businesses (traders) (if operating out of a Limited Company)
  • Cryptocurrency (if operating out of a Limited Company)

This list is not exhaustive and Ember reserves the right to determine suitability of potential subscribers.

EXCEPTIONS

New Ember subscribers, with a TSB current account, will qualify for the promotional discount if for whatever reason they do not apply via the TSB App. In this scenario, they should connect their TSB current account within the 14-day trial period and a discount will be applied to paid plans. The discount eligibility period will run for 6 months from the first billing date (see ‘Discount Period’).

In these circumstances, the customer will be notified of the reasoning for the discount upon registering and connecting their TSB current account. 

This only applies to new customers. New customers are defined as any TSB customer who applies once the partnership has gone live, on or after [INSERT DATE HERE]

Ember cannot guarantee that any additional exceptions that fall outside of those listed above will be approved and will be applied on a discretionary basis.

RETURNING USERS

Monthly plan

If a TSB customer joins Ember, subscribes to a monthly plan with the discount applied, then cancels their subscription and returns within the 6 month eligibility period to re-subscribe, then discount will be applied for the remainder of the 6 month period. The period of eligibility will run from the first billing date on the initial subscription plan. Full price will be applied once the initial 6 month eligibility period elapses. 

Returning subscribers will need to re-connect their TSB current account, as they did so previously, upon returning. 

If a TSB customer joins Ember and takes up the discount, cancels their subscription and returns after the 6 month eligibility period for discount, then discount will not be applied. If they decide to re-subscribe then the full price will be applied. 

Annual plan

If a TSB customer joins Ember, subscribes to an annual plan with the discount applied, then cancels their subscription and returns within the 12 month annual subscription period then they will have access to their Ember account, at the discounted price, until the initial 12 month period elapses. The period of eligibility will run from the first billing date on the initial subscription plan. Full price will be applied once the initial 12 month subscription term elapses.

If a TSB customer joins Ember and takes up the discount, cancels their subscription and returns after the 12 month subscription period, then discount will not be applied. If they decide to re-subscribe then the full price will be applied.

If a customer was previously an Ember subscriber who cancelled their subscription, prior to the launch of the TSB partnership, then decides to re-subscribe again via the TSB app, then they will be eligible for either a monthly or an annual discount.

BANK CONNECTIVITY 

In order to qualify for the promotional discount, subscribers must connect their TSB current account within the 14-day trial period. The discount will be applied only once the account has been connected. If the account is connected and the subscriber opts for a Starter plan, then the promotional discount will only be applied once they upgrade to a Pro, or an Unlimited plan. Therefore the discount may run for a shorter period than 6 months if the subscriber selects a paid plan after month 1 (see ‘Eligibility’). 

If the customer has additional bank accounts, then they can connect more than one. If the TSB current account is connected, then the discount will be applied, regardless of how many other bank accounts have also been connected. 

How to connect a TSB account with Ember:

  • Portal > Manage > Add a connection > Select TSB > Approve Open Banking connection
END OF TERM

At the end of the promotional discount period, the subscription price will increase in line with the price of the same plan at the time that the discount period elapses. Prices may vary over time. 

There are no cancellation fees and the customer may cancel their subscription at any time. If the customer is on a monthly subscription then they will not be charged for the following monthly billing cycle. However, if the customer is on an annual plan, then they will not be charged for the following annual billing cycle. No refunds will be issued for the period in which the customer does not use Ember but they will continue to have access until the end of the paid-for period. 

At the end of the discount term, the customer is not obliged to continue with the subscription. If the customer has not cancelled the subscription at the end of the discount term, they will automatically be charged full price for their plan in the following billing cycle. This will continue until the subscription has been cancelled. The customer will not be notified when they approach the end of their term.
